On additional measures to actively attract investment in the field of geology, transform enterprises in the industry and expand the mineral resource base of the republic

In order to implement an effective management system at enterprises in the geological industry by transforming them based on advanced international experience, reducing the cost of geological exploration work aimed at discovering new mineral deposits, increasing the flow of foreign direct investment in industrial development of deposits, radically reforming the activities of the State Committee for Geology and Mineral Resources (hereinafter referred to as Goskomgeologiya), as well as organizing modern production facilities and creating new jobs in the regions:

1. Agree with the proposal of the Ministry of Finance and the State Committee on Geology to establish in the geology system JSC Uzbekgeologorazvedka (hereinafter referred to as the Joint-Stock Company) to service geological exploration work within the framework of state programs for the development and reproduction of the mineral resource base of the republic (hereinafter referred to as state programs) with the status of an independent legal entity by merging JSC Kizilkumgeologiya, JSC Samarkandgeologiya, JSC Surkhongeologiya, JSC Hisorgeologiya, JSC Toshkentgeologiya, State Unitary Enterprise Central Laboratory and State Unitary Enterprise Geoburtekhnika.

At the same time, the State Assets Management Agency exercises the rights of a shareholder with respect to state-owned blocks of shares in the authorized capital of joint-stock companies.

2. Take into account that the main objectives of the Joint Stock Company are defined as:

implementation of measures to modernize the field of geology by introducing modern and highly efficient equipment, advanced technology and innovative technologies into this field;

conducting systematic work aimed at reducing the cost of services by increasing the efficiency and effectiveness of geological exploration work and optimizing expenses;

increasing operational efficiency through the implementation of a modern corporate management system and the rational use of material, technical, financial and labor resources;

ensuring the competitiveness of the work carried out in the industry through the use of modern digital technologies, as well as conducting geological exploration work not only on the territory of the republic, but also in foreign countries as the winner of international tenders;

ensuring the development of the republic’s mineral resource base through accelerated implementation of geological exploration work in the regions.

To establish that in 2025 the Joint Stock Company will attract investors through a public primary and secondary placement of shares with the assistance of international financial institutions and consulting organizations.

3. To the Ministry of Finance and the State Committee on Geology after the establishment of the Joint Stock Company:

within one month, ensure the creation of a Project Office within the Joint Stock Company that will carry out tasks related to the implementation of transformation processes, the introduction of modern corporate governance systems and international standards, as well as the coordination of the financial and economic activities of the company;

within one month, staff at least 30 percent of the Supervisory Board of the Joint Stock Company with qualified industry specialists who have foreign work experience;

within three months, introduce the position of Deputy Head - Chief Financial Officer (CFO) of the Joint Stock Company, ensure that a highly qualified international expert with experience in similar projects is recruited for this position.

4. Approve:

"Roadmap" for reforming enterprises operating in the State Committee on Geology system, increasing investment attractiveness and widespread introduction of digitalization in this area in accordance with Appendix No. 1 ;

the new organizational structure of the State Committee on Geology in accordance with Appendix No. 2 ;

the main directions of geological exploration work carried out in promising areas and structures to identify new mineral deposits in 2021-2022, in accordance with Appendix No. 3 ;

the main indicators of the increase in mineral reserves for the development and reproduction of the mineral resource base of the republic in 2021-2022 in accordance with Appendix No. 4 ;

key indicators of the increase in mineral reserves due to the revaluation by the Almalyk Mining and Metallurgical Company of the combined Kalmakir and Yoshlik-I deposits in 2021-2022 in accordance with Appendix No. 5 .

5. Determine that:

funds within the framework of state programs allocated to the State Committee on Geology for geological exploration work carried out at its request on the basis of contracts are not capitalized in the authorized capital of organizations in the field of geology;

new areas and structures identified as a result of geological exploration work, as well as newly discovered mineral deposits are investment objects in which the State Committee on Geology attracts potential investors in the manner established by law;

starting from 2022, annually, by 1 February, subsoil users are required to submit to the State Committee on Geology relevant information on the results of geological exploration work and the increase in mineral reserves achieved last year and the planned volume for the current year;

exploratory drilling work on 15 promising oil and gas areas prepared by the State Committee on Geology within the framework of the State Program for 2020 and to be completed in 2021 is carried out at the expense of Uzbekneftegaz JSC's own funds or funds attracted by it.

6. To approve the Action Plan for the development of geological exploration work in oil and gas areas and fields implemented by the State Committee on Geology and JSC Uzbekneftegaz, in accordance with Appendix No. 6 .

At the same time, assign responsibility to the State Committee on Geology and JSC Uzbekneftegaz for the implementation of these measures within the established time frame.

7. Agree with the proposals of the State Committee on Geology, the Ministry of Finance and the Ministry of Investments and Foreign Trade, aimed at increasing the investment attractiveness of the geological industry, and also providing for:

implementation of a system for dividing geologically poorly studied subsoil areas into blocks (areas) based on international standards;

introduction of requirements for an annual fee for obtaining a permit for the right to use a block (area), divided on the basis of international standards, for geological exploration, taking into account the size of the block (area) and the types of minerals available on site, in place of a one-time subscription bonus, as well as the amount of annual minimum expenses for conducting geological exploration work;

issuance of permits online by the State Committee on Geology for the right to use poorly studied subsoil areas for the purposes of geological exploration on a first come, first served basis based on investor requests through the Unified Portal of Interactive State Services of the Republic of Uzbekistan;

issuance of permits for the right to use areas with a high degree of exploration and potential for discovering deposits for the purposes of geological exploration, as well as the extraction of minerals from open deposits based on the results of auctions held on the electronic trading platform "E-AUKSION".

These proposals should be included in the draft Law of the Republic of Uzbekistan “On Subsoil”, which is being developed in a new edition.

8. Establish a procedure according to which:

When the State Committee on Geology receives an investor’s request for a permit for the right to use a subsoil plot that is not put up for auction, this permit for the right to use this subsoil plot is put up for auction via the electronic trading platform “E-AUKSION” in the manner established by law.

9. Within three months, the State Committee on Geology, based on the priority tasks of expanding the mineral resource base of the republic, shall develop and submit to the Cabinet of Ministers a concept for the long-term development of the country's mining and geological industry, covering a five-year period reflecting the global market situation and advanced scientific and technical achievements.

10. Agree with the proposals of the Tashkent city khokimiyat, the Ministry of Construction, the Ministry of Finance and the State Committee on Geology on:

completion of the first stage of construction and extension of the deadline for commissioning of the buildings of the University of Geological Sciences (academic building, dormitory, buildings of research institutes, geology museum) until December 2021;

demolition of the buildings of the Institute of Hydrogeology and Engineering Geology, as well as the Institute of Geology and Geophysics named after H.M. Abdullaev, located at the address: Tashkent city, Mirzo-Ulugbek district, Olimlar street, houses 64 and 49 respectively, and the construction of two new seven-story buildings in their place;

completion at the second stage in 2021 of the construction of buildings for the central office of the State Committee on Geology, the State Geological Fund, the Inspectorate for Control of Mining and Geological Activities, the Joint-Stock Company and the State Geological Information Center.

11. Establish that the funds:

a) proceeds from the sale of non-core assets included in the State Committee on Geology are fully directed to the State Budget;

b) necessary for the completion of the construction of the University of Geological Sciences cluster, are allocated from:

funds allocated to the State Committee for Geology in the State Budget for 2021, as well as funds received from the sale of non-core assets that are part of the State Committee for Geology, sent to the State Budget;

funds saved within the framework of the Program for the Development of Social and Industrial Infrastructure of the Republic of Uzbekistan for 2021-2023, as well as the redistribution of unspent funds.

The Ministry of Economic Development and Poverty Reduction, together with the Ministry of Finance and the State Committee on Geology, based on the requirements of this paragraph, shall ensure that proposals are submitted to the Cabinet of Ministers on the allocation of funds necessary for the completion of the construction of the University of Geological Sciences cluster.

12. To amend some resolutions of the President of the Republic of Uzbekistan in accordance with Appendix No. 7 .

13. To assign personal responsibility for the effective organization of the implementation of this resolution to the Chairman of the State Committee for Geology and Mineral Resources B.F. Islamov.

Discussion of the progress of the implementation of this resolution, as well as coordination and control over the activities of the departments responsible for its implementation, shall be assigned to the Deputy Prime Minister of the Republic of Uzbekistan D.A. Kuchkarov.

Amendments and additions made to some decrees of the President of the Republic of Uzbekistan

1. In the Resolution of the President of the Republic of Uzbekistan dated September 25, 2017 No. PP-3286 “On measures to further improve the system of protection of water bodies”:

a) in paragraph six of clause 1, replace the word “license” with the word “permission”;

b) in the second paragraph of clause 3, the word “license” shall be replaced by the word “permit”.

2. In the first , third and fourth paragraphs of clause 4 of the Resolution of the President of the Republic of Uzbekistan dated January 17, 2018 No. PP-3479 “On measures to stably provide the country's economic sectors with in-demand types of products and raw materials”, the word “license” in the appropriate case shall be replaced by the word “permission” in the appropriate case.

3. Clause 5 of the Resolution of the President of the Republic of Uzbekistan dated March 1, 2018 No. PP-3578 “On measures to radically improve the activities of the State Committee of the Republic of Uzbekistan on Geology and Mineral Resources” shall be set out as follows:

“5. Establish a procedure according to which:

permission for special water use and water consumption in terms of groundwater is issued by territorial hydrogeological stations of the State Committee on Geology through State Service Centers in the established manner;

permits for the right to use subsoil areas are issued by the State Committee on Geology through the “License” information system in accordance with the established procedure;

the approval in the established manner of plans for the development of mining operations submitted by subsoil users, as well as the acceptance of annual reports on the volumes of their production and subsequent redirection to the State Geological Fund of the State Committee on Geology is carried out according to:

non-metallic minerals - territorial divisions of the Inspectorate;

ore minerals and hydrocarbons - Inspection.

Moreover, an application for obtaining permits specified in paragraphs two and three of this clause, and the documents attached to it, can also be submitted through the Unified Portal of Interactive Government Services.”

4. Clause 2 of the Resolution of the President of the Republic of Uzbekistan dated November 26, 2018 No. PP-4030 “On measures to create conditions for the implementation of activities in the artisanal mining of precious metals” shall be set out as follows:

“2. Establish a procedure according to which:

the activity of artisanal mining of precious metals is a separate type of subsoil use and is carried out on subsoil sites;

for the implementation of activities in the artisanal extraction of precious metals, subsoil areas are provided, including placer gold deposits of up to 5 hectares in size;

to carry out activities in the artisanal mining of precious metals, a permit is issued for the right to use subsoil plots, while the total area of subsoil plots provided to one applicant for one year on the basis of a permit must not exceed 20 hectares;

Only residents of the Republic of Uzbekistan, in particular, individuals who are citizens of the Republic of Uzbekistan, who have the status of an individual entrepreneur, and legal entities in whose authorized capital (fund) the share of an individual who is a citizen of the Republic of Uzbekistan is 70 percent or more, may apply for permits for the right to use subsoil areas for carrying out activities in the artisanal extraction of precious metals;

70 percent of employees of a legal entity applying for a permit for the right to use subsoil areas for carrying out activities in the artisanal extraction of precious metals must be citizens of the Republic of Uzbekistan;

a permit for the right to use subsoil areas for carrying out activities on artisanal mining of precious metals is issued by the State Committee of the Republic of Uzbekistan on Geology and Mineral Resources for a period of 3 years based on the results of an electronic auction on the electronic trading platform "E-AUKSION" in the established manner through the information system "License";

the total period for conducting an electronic auction and issuing a permit in accordance with this resolution, as an exception, may not exceed 15 days, including all procedures carried out on the electronic trading platform “E-AUKSION”;

the starting price for putting up for auction the right to use subsoil plots for carrying out activities on artisanal mining of precious metals for each hectare is set at 35 times the basic calculation value established in the territory of the Republic of Uzbekistan. In this case, the starting price of an incomplete hectare is determined by multiplying the price set for 1 hectare by the size of the land plot;

the list of subsoil areas where the implementation of activities for the artisanal extraction of precious metals is permitted is approved annually by the State Committee of the Republic of Uzbekistan for Geology and Mineral Resources;

the transfer (assignment) of a permit or the right to use a subsoil plot (in whole or in part) to third parties, as well as the issuance of a permit for the right to use one subsoil plot to several persons, is not permitted;

the maintenance of the register of persons engaged in artisanal mining of precious metals, as well as state control over the subsoil areas allocated to them, is ensured by the State Committee of the Republic of Uzbekistan on Geology and Mineral Resources;

the sale of precious metals extracted through artisanal mining is carried out at a contract price to legal entities that have licenses for the right to carry out refining activities, including the joint-stock companies Almalyk Mining and Metallurgical Plant and Navoi Mining and Metallurgical Plant, as well as legal entities and individual entrepreneurs who have the right to produce jewelry and other products made of precious metals and precious stones;

concealment of extracted precious metal, including its failure to sell within 6 months, as well as violation of requirements for the safe conduct of work during artisanal mining of precious metals, resulting in serious bodily harm or death of people, are grounds for the cancellation of the permit and a ban on engaging in this activity for one year;

After the termination of the right to use subsoil areas provided for the implementation of activities for the artisanal extraction of precious metals, subsoil users are obliged to reclaim the subsoil areas and bring them to a condition suitable for further use.

To establish that the requirements provided for in paragraphs four, five and six of this clause shall apply to permits for the right to carry out activities in the artisanal mining of precious metals issued starting from May 1, 2021."

5. In the Resolution of the President of the Republic of Uzbekistan dated December 26, 2018 No. PP-4078 “On additional measures to improve the efficiency of using subsoil areas containing non-metallic minerals”:

a) in paragraphs three , five through seven of clause 1, the word “license” in the appropriate case shall be replaced by the word “permission” in the appropriate case;

b) in paragraph 2 :

The third paragraph shall be set out as follows:

"from January 1, 2020, permits for the right to use subsoil areas containing all non-metallic minerals (except for the extraction of sand and gravel materials during the clearing of river beds) are issued by the State Committee of the Republic of Uzbekistan for Geology and Mineral Resources within a period not exceeding 20 days, based on the results of an electronic auction on the E-AUKSION electronic trading platform in the established manner through the License information system. At the same time, an application for a permit and the documents attached to it can also be submitted through the Unified Portal of Interactive Government Services";

in the fourth paragraph, replace the word “licenses” with the word “permits”;

c) in the first paragraph of clause 4, the word “licenses” shall be replaced by the word “permits”.

6. In the Resolution of the President of the Republic of Uzbekistan dated July 23, 2019 No. PP-4401 “On measures to further improve the geological study of the subsoil and the implementation of the State Program for the Development and Reproduction of the Mineral Resource Base for 2020-2021”:

a) in paragraph 2 :

exclude paragraphs two and three ;

the fourth paragraph shall be considered the second paragraph;

b) Appendices Nos. 1 and 2 shall be considered to have lost their force.

7. In the Resolution of the President of the Republic of Uzbekistan dated November 18, 2019 No. PP-4522 “On measures to improve the system of organizing and conducting geological exploration work for oil and gas”:

a) in paragraph 8, replace the word “licenses” with the word “permits”;

b) paragraphs one and two of clause 12 shall be set out as follows:

“Implement a mechanism according to which:

provision for use of subsoil areas containing strategic types of minerals specified in the Decree of the President of the Republic of Uzbekistan dated May 24, 2017 No. PP-3000 "On measures to accelerate the attraction of foreign investment in the geological exploration and development of deposits of strategically important types of solid minerals" is carried out on the basis of auctions, ensuring the transparency of issuing permits in the established manner through the information system "License". At the same time, an application for a permit and the documents attached to it can be submitted through the Unified Portal of Interactive Public Services."

8. In the Resolution of the President of the Republic of Uzbekistan dated March 6, 2020 No. PP-4629 “On measures to reform the state enterprise “Navoi Mining and Metallurgical Plant”:

a) in the third paragraph of clause 7 and in the second paragraph of clause 13, the word “license” in the appropriate case shall be replaced by the word “permission” in the appropriate case;

b) in the title of Appendix No. 2, the word “license” in the appropriate case shall be replaced by the word “permission” in the appropriate case.
